Environmental due diligence is built to inform a decision. It usually arrives after the decision has already been made.

Not because teams are careless. The workflow is rational, well-resourced, and reliably sequenced in the wrong order. The site gets identified. Market fundamentals are modeled. Preliminary terms get drafted. Legal opens the PSA. Committee hears the pitch, forms a preference shaped by location and operational fit and return profile, and a frontrunner emerges. Then someone orders the Phase I.

By the time your Phase I lands, the site has usually already won an internal argument, and now the finding has to fight the momentum, not inform the decision.

This is what most acquisition teams have normalized without seeing it. Environmental screening is treated as something a site passes, late, near closing. A clearance, not a filter. The difference matters because a clearance confirms a choice already made, while a filter shapes a choice still open. A Recognized Environmental Condition, the ASTM E1527-21 finding that determines whether the buyer has satisfied the EPA’s All Appropriate Inquiries rule, means something entirely different depending on which side of that line it arrives on. A REC discovered before terms are drafted is a site-selection input. A REC discovered after committee alignment is a renegotiation problem. The finding doesn’t change. Your position does.

And that position erodes faster than most deal teams register. A buyer without a signed contract holds the strongest leverage there is: the ability to walk at no cost. That pre-contract window is where environmental findings translate most directly into price adjustments, modified terms, or a clean exit. Once the contract is signed, even with a due diligence clause, even with explicit exit rights, the curve bends. Not because the contractual option disappears. It doesn’t. But the organizational cost of exercising it has increased with every hour of analyst time, every committee presentation, every round of legal review that has accumulated behind the site. The right to walk remains. The practical friction of walking has quietly grown. That friction never shows up in a deal model. It shows up in how hard the team actually pushes when a REC surfaces and the closing date is three weeks out.

A reasonable acquisition manager will push back here, and the pushback deserves a direct answer. Environmental diligence is already required. Exit rights exist. Earlier screening costs money and slows the funnel. All true. But late certainty carries its own price, and it tends to be less visible because it lands in places nobody traces. In the extension nobody budgeted for because a Phase 2 is now required and the closing timeline can’t absorb it. In the renegotiation conducted under duress rather than from a position where walking costs nothing. In the analyst hours and committee attention spent defending a site that should have exited the funnel two months earlier, hours not spent evaluating the next five opportunities. Earlier screening is a cost. Late certainty is also a cost. The difference is which one you can see before you’ve already paid it.

The sequencing problem isn’t usually one person’s failure. It’s a handoff gap that lives inside the cross-functional workflow. Acquisitions assumes legal is tracking the environmental scope. Legal assumes acquisitions has already ordered the Phase I. The lender’s environmental requirements surface in week six of a process that started in week one. Nobody owns the timing question because everyone believes someone else does. And the Phase I gets treated as a finish line, the report came back, the diligence box is checked, rather than a branching point where the finding should determine the next decision instead of confirming the one already made. When the REC surfaces at the finish line, there is no branch left. There is only renegotiation.

Sellers who are prepared understand this dynamic. As Doug Ruhlin of RMA Environmental has observed, no seller would wait for a buyer to discover their financials for the first time during diligence. Environmental positioning should work the same way. The buyer-side logic is identical. A team that has built environmental screening into the front of the funnel, before site preference hardens, is negotiating from information, not defending against it.

The pattern compounds across a portfolio in ways that individual site analysis never reveals. A team acquiring multiple light-industrial properties in adjacent markets may be running the same sequencing problem on each one without connecting the exposures. Each deal looks managed. Across the portfolio, the same late-stage REC dynamic repeats. A delayed finding on one priority site pulls the acquisitions director into an unplanned renegotiation cycle, revised environmental scope, calls with counsel, a lender requiring updated diligence, and during that window, three other sites in the funnel lose momentum. Committee time allocated for new evaluations gets redirected to managing the problem deal. The acquisition window doesn’t pause while one site sorts itself out.

The Phase I isn’t the problem. What has already been decided by the time it lands is the problem. Environmental diligence doesn’t protect the deal at the moment the report arrives. It protects optionality at the moment capital is still mobile, before the site has won the argument, before the model reflects its economics, before the team has spent organizational capital it will be reluctant to write off. Treat screening as a filter and the data shapes the deal. Treat it as a clearance and it documents one you’ve already committed to.

The finding doesn’t change. Timing decides what it’s worth.
